LICENSE

LICENSE AGREEMENT

This License Agreement ("Agreement") is made and entered into as of 11 May, 2024, by Atharva Kulkarni, an individual residing in India ("Licensor").

WHEREAS, Licensor, Atharva Kulkarni, owns certain rights to proprietary technology;

WHEREAS, Licensee desires to obtain a license under the technology for the purposes set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Confidentiality. Licensor agrees to maintain the confidentiality of any proprietary or confidential information disclosed by Licensee in connection with this Agreement.

2. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflicts of law principles.

3. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

4. Academic Use. Licensor grants students the right to use the licensed technology as part of academic projects, provided that proper credit is given to Licensor, Atharva Kulkarni, for granting the license.

5. No Research Publishing. Licensee agrees not to publish or otherwise disclose any research findings or data derived from the use of the licensed technology without prior written consent from Licensor.

6. No Commercial Use. The licensed technology shall not be used for commercial purposes without prior written consent from Licensor.

7. No Replication. Licensee agrees not to create a new GitHub repository or upload the same or similar code on any platform that replicates or competes with the licensed technology.

8. Legal Action. Licensor reserves the right to take legal action for any violation of this Agreement.

IN WITNESS WHEREOF, Licensor has executed this Agreement as of the Effective Date.
